Claritech Analysis Limited ("Claritech" which term collectively includes any owner or subsidiaries or affiliates or branch offices of Claritech Analysis Limited, and any of its directors or officers or employees or representatives) whose registered office is at 128 City Road, London, EC1V 2NX; would like you to be familiar with the following terms which are applicable to its emails, software, web pages, products, content, assessments, analysis, forecasts, opinions, facts, databases and all information (collectively referred to as the “Product”, "Products", "Service" or "Services" ) to which you may have access by any means. The content and information included in these Products and Services are provided by Claritech and its third party suppliers (collectively, the "Information Providers"). The Products and Services are made available by Claritech subject to the terms and conditions stated below:
Agreement
By using Our Products and / or Services, you provide your confirmation and consent to be bound by the terms of this Agreement. If you do not agree, Claritech is not willing to provide you with access to these and you should immediately discontinue your use of them. Claritech will make efforts to alert you of any changes to the agreements, however we cannot assure you of the error free transmission of such alerts. You agree that Claritech may modify this Agreement at any time in its sole discretion and without prior notice to you. Such changes will be posted online and will be effective upon posting. You should review this Agreement periodically to be familiar with its present terms and conditions. Your continued use of the Products and / or Services shall constitute your acceptance of this Agreement in its present form or as amended. If you do not agree to the changes, you must notify Claritech in writing of your refusal and discontinue your use of the Products and / or Services.
Claritech provides consulting, financial analysis, company valuations, and business intelligence services. The specific scope, deliverables, timelines, and fees for our services will be outlined in individual Letters of Engagement ("LOE"), for each project or client engagement. In the event of any conflict between this Agreement and an LOE provided by Claritech, the terms of the LOE shall prevail.
Use of Services
Personal and Non-Commercial Use: The Services are intended for your personal, non-commercial use.
Prohibited Actions: You agree not to use, store, reproduce, display, modify, sell, publish, transmit, distribute, or commercially exploit the Services without prior written consent from Claritech.
Intellectual Property Rights: All content and materials provided through the Services are protected by intellectual property laws. You acknowledge that Claritech and its third-party Information Providers retain all proprietary rights to the content.
All services provided by Claritech Analysis Limited are non-exclusive and non-binding. We reserve the right to offer similar services to other clients. In the event of a conflict of interest, we shall promptly disclose it and take appropriate steps to address the situation in a fair and transparent manner.
Non circumvention
You agree not to circumvent, directly or indirectly, Claritech Analysis Limited in any business dealings, transactions, or relationships introduced by Claritech. This includes engaging with Claritech's partners, affiliates, or other contacts for the purpose of conducting business without Claritech’s involvement. Any such circumvention shall entitle Claritech to claim full compensation for lost business opportunities, including but not limited to, fees, commissions, and damages. This clause shall survive the term of this agreement by 12 calendar months.
Free and Paid Content
Claritech may allow the use some of its Products free of charge while other Products require you to make a payment. Fees could be a flat monthly fee, a variable fee or a combination of both.
Billing: Fees for Services will be detailed in the respective LOE. Invoices are issued monthly, and payment is due within seven (7) calendar days from the invoice date. Late Payments: Payments received after the due date will incur a late fee of 3% of the outstanding amount, added to the subsequent invoice. Third-Party Payment Providers: We utilize third-party payment processors. By making a payment, you agree to the terms and conditions of these providers. All sales are final; returns, replacements, or refunds are at Claritech's sole discretion. You will receive an invoice from Claritech via the preferred mode of communication. Payment is expected to be received in 7 calendar days from date of the invoice. Claritech is not responsible for non receipt of invoice via the Client's preferred mode of communication. Claritech will use third party payment providers to enable these purchases. The terms and conditions of the respective third party payment provider will apply while using their service. All sales are final and no returns, replacement and refunds are allowed. In the event that such a return or replacement or refund is allowed, it is at the sole discretion of Claritech and either the transaction is reversed to the source or a purchase coupon is provided for the same value which can be utilized within the Claritech App or Website.
User Information
You hold responsibility for protecting and securing your User Name and password from unauthorized use / disclosure and for all statements made and acts or omissions that occur while your user identification name (or "User Name") and passwords are being used. If you become aware of, or believe there has been, any breach of security for any of your information stored on Claritech’s website, such as the theft or unauthorized use of your User Name, password, or any other information, you will notify Claritech immediately.
Not Advise or recommendation or offer to buy or sell
The Products and / or Services have been prepared for informational purposes only without regard to any particular user's investment objectives, financial situation, suitability, or means, and Claritech is not soliciting any action based upon it. The Products and/or Services are not to be construed as a business, financial, investment, hedging, legal, regulatory, tax or accounting advice (Whether implicit or explicit). The Products are not to be construed as a recommendation, or any other type of encouragement to act, invest or divest in a particular manner (Whether implicit or explicit). Claritech shall not be responsible for any loss arising from any investment based on a perceived Recommendation. There is no offer to buy or sell; or the solicitation of an offer to buy or sell any security, financial product, or instrument; or to participate in any particular trading strategy in any jurisdiction in which such an offer or solicitation, or trading strategy would be illegal. Any such perceived Offer (Whether implicit or explicit) will not be honoured by the Claritech.
Reliability of information
Claritech makes reasonable efforts to obtain information from reliable sources, however all Products are provided on an "as is" basis without representation or warranty of any
kind (neither express nor implied). Claritech disclaims liability for any material not being complete, accurate, suitable and relevant for the recipient. By using the Products you agree that errors and/or omissions contained in such information shall not be made the basis for any claim, demand or cause of action against Claritech or any Information Provider(s).
Specifically, Claritech disclaims liability towards any user and any other recipients for accuracy, delay, error, discontinuance, interruption or omission in providing any of the Products. Due to changing circumstances, the Products may become inaccurate and possibly misleading after a period of time which may vary from seconds and minutes to days, weeks and months depending on the Information. Claritech gives no guarantee against, and assumes no liability towards any recipient for any of the Products being outdated. If outdated, Claritech is under no obligation to update, inform recipients or perform any other action. The information may be personal to the author and may not reflect the opinion of the Claritech. Claritech reserves the right at its sole discretion to withdraw or amend any information provided at any time without notice (prior or subsequent).
Risks
Any transaction in the financial market, including those involving complex financial instruments, give rise to substantial risk and are not suitable for all investors. The Products do not account for suitability of the investor, taxation or for various risks applicable to this strategy such as liquidity risk, geographical risk, settlement risk, custody risk, currency risk, risk of corporate action, etc. You should not enter into any transactions unless you have fully understood all such risks and have independently determined that such transactions are appropriate for you. Trading in leveraged products, such as but not limited to, foreign exchange, derivatives and commodities is regarded as highly speculative and losses and profits may fluctuate both violently and rapidly. Speculative trading is not suitable for all investors / traders. The fact that Claritech has made the Products available to you constitutes neither a recommendation to enter into a particular transaction nor a representation that any of its Products is/are suitable or appropriate for you.Claritech strongly encourages any recipient considering trading with the information provided by its Products to employ and continuously consult suitable financial advisors prior to the conclusion of any investment or transaction. Advertisements
Persons or entities not belonging to Claritech may advertise on the Claritech’s Products, websites or software through links, banners or otherwise. Claritech shall not be held responsible or liable for the offerings, information or acts of any such third party. If a user of Claritech’s Products decides to act upon any such advertising, such user does so entirely at their own risk.
You can write to us to report inappropriate ads, preferably with a screenshot, and we will raise a concern with the relevant parties to mitigate the problem.
Termination
Claritech may exercise full discretion in modifying or discontinuing any part or whole of the Products subject to this Agreement at any time without cause or prior notice.
Limited Liability
Claritech shall not be liable for any damage or injury arising out of any person’s or entity’s access to, or inability to access any of the Products. This limitation includes, but is not limited to, any damage to computer equipment and computer systems caused by virus, malware and any other harmful computer coding. Neither Claritech nor any of its third-party Information Providers shall be liable for any direct, indirect, incidental, special or consequential damages arising out of or relating to this Agreement or resulting from the use or the inability to use the Products, including but not limited to damages for loss of profits, use, data or other intangible damages, even if such party has been advised of the possibility of such damages.
